Franz Haniel & Cie. GmbH (Haniel) is a 100 percent family-owned company, headquartered in Duisburg since its foundation in 1756. It manages a portfolio of independent businesses with the goal to make all investments “enkelfähig” and create value for generations. Currently, the Haniel portfolio comprises eight business units: BauWatch, BekaertDeslee, CWS, Emma, KMK Kinderzimmer, Optimar, ROVEMA and TAKKT. Additionally, Haniel is one of the anchor shareholders of CECONOMY.

 

ROLE CONTEXT AND KEY RESPONSIBILITIES

Haniel´s ongoing organizational and portfolio transformation puts value creation at its focus. Corporate functions are established to provide a governance framework and services to the Haniel holding and its portfolio companies. The Head of Legal & Governance, Risk, Compliance and a team of six legal and compliance professionals at Haniel provide legal and compliance support for the Haniel holding management and its investment & growth teams, provide guidance to and work with the portfolio company teams, define and ensure consistent implementation of minimum requirements of the group-wide governance systems. Reporting directly to the Haniel CFO with direct access to the Haniel Audit Committee, s:he takes on a central and multi-faceted role of shaping the enkelfähig journey. The position offers many opportunities to shape the Legal & GRC function at the Haniel group and to contribute in a measurable way to a modern and high performing “family equity” company. The Haniel internal audit team is also part of the Legal & GRC department, while the internal audit team leader has a disciplinary reporting line directly to the CFO for independence purposes.

Among the key responsibilities are:

  • Actively manage and provide legal support in M&A transactions, often in competitive auction scenarios
  • Develop, implement and continuously improve governance framework and processes with a focus on compliance, risk and internal control systems and tools (including IT-based support infrastructure)
  • Plan and coordinate the execution of group-wide risk analyses and reviews and report aggregate results to the Haniel Management and the Haniel Audit Committee/Supervisory Board
  • Lead and coordinate compliance investigations and litigation matters
  • Work with the Internal Audit team to ensure appropriate internal controls are established and effective in all portfolio companies
  • Ensure that the governance framework is adopted and implemented by new portfolio acquisition (onboarding process planning and execution)
  • Provide and coordinate legal advice on financial investments, finance & treasury, employment law, data privacy, corporate law, public company law (insider trading), litigation, real estate …


PROFESSIONAL EXPERIENCE AND QUALIFICATIONS

  • You have a degree in law degree and the second state examination in law, and the admission to the German bar
  • Minimum of 10 years of work experience in a corporate legal leadership role in various industries, preferably in an international environment
  • Deep and demonstrable expertise and experience in Mergers & Acquisitions and corporate law, public company experience is beneficial
  • Extensive knowledge and applied experience in designing, implementing, and improving corporate governance systems, especially Compliance, Risk and Internal Controls
  • A strong understanding of operational business and decision-making processes and the ability to establish a compliance culture that matches our corporate values
  • You are passionate about achieving great results, you´re detail-oriented and resourceful, with excellent follow-through skills
  • You have an affinity for, and ideally experience in, the concepts of agile working practices, continuous improvement and lean
  • You have very good analytical and conceptual skills combined with strong judgment capabilities
  • You can anticipate risks and opportunities - and are able react fast with a proactive, solution-oriented approach due to proximity to facts, people, and process
  • You are persuasive and can build confidence and get acceptance as a critical team leader
  • Your communication and negotiation skills are excellent
  • Fluency in German and English is essential
